1. Agreement to Terms

By accessing zenithweb.net (the “Site”) or engaging ZenithWeb (“we,” “us,” or “our”) for any services, you (“Client” or “you”) agree to be bound by these Terms & Conditions. If you do not agree, please do not use our Site or services.

2. Services

ZenithWeb provides web design, web development, and search engine optimization (SEO) services. The specific scope, deliverables, timeline, and pricing for each project will be agreed upon in writing (via email, proposal, or invoice) prior to commencement of work.

We reserve the right to refuse service to anyone for any reason at any time.

3. Quotes and Pricing

All prices quoted are in United States Dollars (USD) unless otherwise stated. Quotes are valid for 30 days from the date of issuance. We reserve the right to revise pricing for projects that undergo significant scope changes after a quote is accepted.

4. Payment Terms

Payment terms will be specified in the project proposal or invoice. Unless otherwise agreed in writing:

  • A deposit (typically 50% of the total project cost) is required before work begins
  • The remaining balance is due upon project completion and before final files or website access are transferred to the Client
  • For SEO retainer services, payment is due at the start of each monthly billing cycle


We reserve the right to pause or suspend work on any project where payment is overdue.

5. No Refund Policy

All sales are final. ZenithWeb does not offer refunds on any services rendered, including but not limited to web design, web development, and SEO services.

By engaging our services and submitting payment, you acknowledge and agree to this no-refund policy. We encourage all Clients to review proposals thoroughly and ask questions before making payment.

6. Client Responsibilities

To ensure timely project delivery, the Client agrees to:

  • Provide all required materials, content, assets, and feedback within agreed timelines
  • Respond to communication within a reasonable timeframe (typically 3–5 business days)
  • Designate a single point of contact for project-related decisions


Project timelines may be extended if the Client delays in providing required materials or feedback. Such delays do not entitle the Client to a refund or price reduction.

7. Intellectual Property and Ownership

Upon receipt of full payment for a project, the Client owns 100% of the final deliverables, including website designs, code, and written content created by ZenithWeb specifically for the Client.

ZenithWeb retains the right to:

  • Display completed work in our portfolio, on our website, and in marketing materials
  • Reference the Client’s name and project type as part of our portfolio (e.g., “Website designed for [Business Name]”


The Client warrants that any materials, images, logos, or content they provide to ZenithWeb are owned by the Client or that the Client has the right to use them. The Client indemnifies ZenithWeb against any claims arising from the use of Client-supplied materials.

Third-party assets (e.g., stock photos, premium fonts, licensed plugins) incorporated into a project remain subject to their respective third-party licenses. Ownership of such assets does not transfer to the Client.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement and not to disclose it to third parties without prior written consent, except as required by law.

9. Revisions and Change Requests

The number of revisions included in a project will be outlined in the project proposal. Revision requests beyond the agreed scope may be subject to additional charges at our standard hourly rate.

Significant changes to the project scope after work has commenced (including changes to design direction, platform, or functionality) may require a revised proposal and additional payment.

10. SEO Services — Disclaimer

ZenithWeb makes no guarantees regarding specific search engine rankings, Map Pack positions, or traffic results from SEO services. Search engine algorithms are controlled by third parties (Google, Bing, etc.) and can change without notice.

We commit to applying industry best practices and delivering agreed deliverables (GBP optimization, citations, on-page SEO, content, etc.) as outlined in the service agreement. Results will vary based on factors including market competitiveness, existing website authority, and algorithm changes.

11. Website Maintenance and Hosting

Unless explicitly included in a service agreement, ZenithWeb is not responsible for ongoing website maintenance, hosting, security updates, or backups after project delivery. We recommend Clients maintain regular backups and keep WordPress core, themes, and plugins updated.

12. Limitation of Liability

To the maximum extent permitted by applicable law, ZenithWeb shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, lost profits, loss of data, or business interruption, arising out of or related to our services.

Our total liability to the Client for any claim arising out of or relating to our services shall not exceed the total amount paid by the Client for the specific project or service giving rise to the claim.

13. Termination

Either party may terminate a project engagement by providing written notice. In the event of termination:

  • The Client is responsible for payment of all work completed up to the date of termination
  • Deposits and payments already made are non-refundable
  • ZenithWeb will deliver all completed work-in-progress files to the Client upon receipt of any outstanding balance

14. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of the Philippines.

15. Changes to These Terms

We reserve the right to update these Terms & Conditions at any time. Changes will be posted on this page with an updated effective date. Continued use of our Site or services after changes are posted constitutes your acceptance of the revised terms.
